These Terms and Conditions (“Terms”) govern your access to and use of the services, applications, platforms, integrations, products, AI tools, and software (“Services”) provided by MGS Infotech, a venture of STP & Sons (“MGS Infotech”, “we”, “us”, or “our”).

By accessing or using our Services, you (“User”, “Client”, “You”, or “Your”) agree to be bound by these Terms. If you do not agree, you must discontinue use immediately.

1. Eligibility & Acceptance

By using the Services, you confirm that:

  • You are at least 18 years old

  • You have the authority to enter into these Terms on behalf of your organization

  • You have read, understood, and agreed to these Terms

2. Description of Services

MGS Infotech provides SaaS-based automation tools including, but not limited to:

  • WhatsApp Automation & Messaging

  • Campaign Broadcasting

  • Chatflows, Drip Messaging & AI-Powered Responses

  • Team Inbox for Support & Sales

  • Data Management & Lead Management

  • AI Analytics, Insights & Reporting

  • E-commerce & Catalog Commerce

  • Appointment Booking

  • Workflow Automation

  • Webhooks, APIs, and Third-Party Integrations

  • White-label solutions for Partners

We may update, modify, suspend, or discontinue any feature at any time with or without notice.

3. Account Registration

To use the Services, you must:

  • Create an account with accurate and complete information

  • Maintain confidentiality of login credentials

  • Be responsible for all actions taken under your account

We reserve the right to refuse, suspend, or terminate accounts that present risk, violate policies, or misuse the Services.

4. Third-Party Platforms & Integrations

Meta Platforms (WhatsApp, Instagram, Facebook)

When connecting these platforms, you authorize us to access:

  • Business account information

  • Contacts, leads, and form submissions

  • Messages, comments, replies, and related metadata

  • Audience and engagement insights

Usage is governed by Meta Business Terms, WhatsApp Business API Policies, and Instagram Platform Policies.

Other Third-Party Integrations

You may also connect CRMs, payment gateways, e-commerce platforms, call tracking systems, marketing tools, and lead sources.

By doing so, you grant us permission to access and process such data strictly for the purpose of delivering the Services.

5. User Responsibilities

You agree NOT to use the Services for:

  • Sending spam, unsolicited broadcasts, or abusive messages

  • Illegal, harmful, fraudulent, or deceptive activities

  • Violating WhatsApp, Instagram, or Facebook policies

  • Distributing restricted, sexual, violent, or harmful content

  • Bypassing platform limits or API restrictions

  • Interfering with system performance or security

  • Sharing misleading, defamatory, or copyrighted content without authorization

You are responsible for:

  • Obtaining lawful consent before messaging customers

  • Ensuring compliance with all applicable laws

  • Accuracy and legality of all uploaded content and media

6. Subscription Plans, Billing & Payments

6.1 Subscription Billing

MGS Infotech offers monthly and yearly subscription plans. By subscribing, you authorize us and our payment partners (Stripe, PayU, Razorpay) to charge recurring fees.

6.2 Platform Fee & Meta Credits (Non-Refundable)

You acknowledge that:

  • Platform fees are strictly non-refundable, including partial usage

  • Meta / WhatsApp conversation credits are non-refundable, regardless of usage or account status

6.3 Taxes

All prices exclude applicable taxes. Users are responsible for GST or other applicable taxes.

6.4 Renewal & Cancellation

  • Subscriptions auto-renew unless cancelled before the renewal date

  • Cancellation does not entitle you to refunds

  • Services remain active until the end of the billing cycle

7. No Refund Policy

Except where required by law:

  • Subscription fees, onboarding fees, setup charges, add-ons, credits, and usage fees are non-refundable

  • No refunds will be issued for termination due to policy or platform violations

8. Messaging Policies & Compliance

You agree to comply with:

  • WhatsApp Business Platform Policies

  • Meta Commerce & Messaging Policies

  • Country-specific telecom regulations

  • TRAI guidelines (where applicable)

If your WhatsApp Business Account (WABA) is restricted, suspended, or revoked due to your actions, MGS Infotech is not liable.

We may suspend messaging to prevent spam, abuse, violations, or excessive complaints.

9. AI Features & Limitations

Our platform includes AI-powered features. You acknowledge:

  • AI outputs may be inaccurate or incomplete

  • AI does not replace human judgment

  • Sensitive communications must be reviewed manually

MGS Infotech is not liable for outcomes resulting from AI-generated content.

10. Intellectual Property

All trademarks, logos, software, workflows, and platform components are owned by MGS Infotech or STP & Sons.

Users may not:

  • Copy, reverse-engineer, or redistribute the platform

  • Use brand assets without written consent

  • Replicate or resell platform functionality without authorization

11. Data Retention, Access & Deletion

We may retain:

  • Chat logs

  • Customer and lead data

  • Analytics and reporting information

Data is retained as required for service delivery, legal compliance, or business operations.
You may request data deletion upon account termination.

Aggregated or anonymized data may be retained for analytics and improvement.

12. System Availability & Maintenance

We do not guarantee:

  • Uninterrupted service

  • Error-free operation

  • 100% message delivery

  • Availability during third-party outages

Maintenance may temporarily affect access.

13. Suspension & Termination

We may suspend or terminate access if you:

  • Violate these Terms

  • Engage in spam, fraud, or misuse

  • Breach Meta or WhatsApp policies

  • Compromise platform security

Upon termination:

  • No refunds are issued

  • Platform access ceases

  • Data handling follows retention policies

14. Indemnification

You agree to indemnify and hold harmless MGS Infotech and STP & Sons from claims, damages, penalties, or liabilities arising from:

  • Your use of the Services

  • Your content or messaging practices

  • Policy or legal violations

15. Limitation of Liability

To the fullest extent permitted by law, MGS Infotech is not liable for:

  • Loss of profits, revenue, data, or business

  • WhatsApp or Meta restrictions

  • Downtime or service interruptions

  • Third-party integration failures

  • AI-generated outcomes

Total liability is limited to fees paid by you in the previous three (3) months.

16. Force Majeure

We are not liable for failures caused by events beyond reasonable control, including natural disasters, government actions, internet outages, pandemics, or platform-wide failures.

17. White-Label Partners

If you use our white-label offering:

  • You are responsible for your clients’ compliance

  • Misrepresentation of platform capabilities is prohibited

  • Client violations are treated as your violations

18. Modification of Terms

We may update these Terms at any time. Continued use indicates acceptance of the revised Terms.

19. Governing Law & Jurisdiction

These Terms are governed by the laws of India.
Courts in Indore, Madhya Pradesh, shall have exclusive jurisdiction.
